These terms are the agreement between you, the organization or person using jeruo, and John Doe, trading as jeruo. By creating an account, ordering a plan or using jeruo, you accept them. If you use jeruo for an organization, you confirm that you can agree to them on its behalf.
1. The service
jeruo lets you create brand profiles for creators, publish lead magnets and lead pages, generate tracked links and QR codes, and see analytics about the visits and leads they produce. We improve jeruo continually and may change features, but we will not materially reduce the core functionality of your plan during a period you have paid for.
2. Your account
Give us accurate information, keep your sign-in details safe, and tell us right away about any unauthorized use. You are responsible for what happens in your account, including the actions of the team members you invite.
3. Plans, fees and billing
- Plans and prices are listed on our pricing page, in US dollars and excluding taxes, which we add where the law requires.
- There is no free plan and no free trial. Plans are paid in advance, monthly or yearly, from the first day.
- Subscriptions renew automatically for the same period unless you cancel before the renewal date.
- Each plan has limits, such as the number of creators and team members. On Studio, Agency and Pro you can buy extra creators and team members at the add-on price shown on our pricing page. If you go over a limit, we will ask you to add more or move up a plan and give you a grace period, and your pages keep capturing leads in the meantime.
- Upgrades take effect right away and the difference is charged for the rest of the period. Downgrades take effect at your next renewal.
- If a payment fails and is not fixed after we notify you, we may suspend your account until it is.
- Fees are not refundable, except where the law requires a refund or these terms say otherwise.
- We will give you at least 30 days' notice of a price change, and it will apply from your next renewal.
- Founding prices are offered to a limited number of early customers. A founding price stays the same for as long as that subscription remains active on the plan it was offered for, and ends if the subscription is canceled or lapses.
4. Your content and your leads
You own the content you put into jeruo and the leads you collect with it ("your data"). You give us permission to host and process your data only to provide jeruo to you.
You can export your data at any time, including for 30 days after your subscription ends. After that we delete it. Where your data includes personal data, we process it as your processor under our data processing agreement, which is available on request, and our privacy policy.
5. Your responsibilities
You are responsible for having a lawful basis and the right consent for the leads you collect, for showing lead page visitors a privacy notice, and for honoring their requests to unsubscribe or be deleted. That includes complying with email and privacy laws such as the GDPR, PECR, CAN-SPAM and CASL where they apply.
You must not use jeruo to:
- send spam, or collect leads for anyone who has not agreed to it;
- publish anything illegal, deceptive, infringing, or harmful to children;
- distribute malware or run phishing;
- collect sensitive data such as health information, financial account numbers or government ID numbers;
- interfere with the service, reverse engineer it, scrape it or resell it without our written agreement.
We may suspend pages or accounts that break these rules, with notice where practical.
6. Our intellectual property
jeruo, including its software, design and brand, belongs to us. While your subscription is active, you have a limited, non-exclusive and non-transferable right to use it. If you send us feedback, we may use it without any obligation to you.
7. Availability and support
We work hard to keep jeruo available and fast, but we cannot promise it will be uninterrupted or error-free. We will give notice of planned maintenance where we can. Support is by email, with priority support on the Pro plan.
8. Confidentiality
Each of us will protect the other's confidential information with reasonable care, use it only for the purposes of this agreement, and share it only with people who need it and are bound by similar duties.
9. Disclaimers
Apart from what these terms say, jeruo is provided "as is" to the extent the law allows. We do not promise any particular result, such as a number of leads, a conversion rate or an amount of revenue.
10. Limitation of liability
Neither of us is liable for indirect or consequential losses, or for lost profits, revenue or goodwill. Each party's total liability in any 12-month period is limited to the fees you paid or owed for jeruo in that period. Nothing in these terms limits liability that cannot be limited by law, such as for fraud, or for death or personal injury caused by negligence.
11. Indemnity
You will defend us against, and cover our reasonable costs from, claims by third parties that arise from your content, the leads you collect, or your breach of section 5.
12. Ending the agreement
This agreement lasts until your subscription ends. You can cancel at any time, and cancellation takes effect at the end of your current billing period. We may end the agreement if you materially breach these terms and do not fix it within 14 days of our notice, or right away for serious abuse. When the agreement ends, your access stops and you have 30 days to export your data before we delete it.
13. Changes to these terms
We may update these terms. For material changes we will give you at least 30 days' notice by email or in the product, and continuing to use jeruo after that means you accept the new terms.
14. General
These terms are governed by the laws of England and Wales, and the courts of England and Wales have exclusive jurisdiction over any dispute arising from them. These terms are the whole agreement between us about jeruo. We may transfer them as part of a merger or acquisition; you may transfer them only with our written agreement. Neither of us is liable for delays caused by events outside our reasonable control. If part of these terms cannot be enforced, the rest still applies, and not enforcing a right right away does not mean giving it up. We will send notices to the email address on your account.
